Last updated on September 13, 2018

Introduction and scope

These terms of use (the “terms”) apply to the Sourcinc websites and applications (collectively the “services”) operated by Sourcinc Group Inc., Sourcinc International Inc. or any of their subsidiaries (collectively, “Sourcinc”, “We”, “our”). You agree that by visiting our website or using our services (described below), you agree to enter into a legally binding contract with Sourcinc (even if you use our services on behalf of a company). If you do not accept these terms, you must not access or use any of our services. If you wish to terminate this contract, you may do so at any time by closing your account and ceasing to access or use our services.

Changes

We may modify this contract and our Privacy Policy from time to time. If we make material changes, we will notify you through our services, or by other means, to give you the opportunity to review the changes before they take effect. If you object to any change, you must stop using the services and close your account. Your continued use of our services after we publish or send a notice about our changes to these terms means that you consent to the updated terms.

Your obligations

You must be at least 18 years old to use our services.

You are responsible for your use of our services. However, if some of our services were purchased by another party (for example, if you are a human resources employee and the subscription to our services is paid for by your employer), the party paying for those services has the right to control and obtain reports on your use of such paid service.

Licence

You (or your employer) own the content and information you submit or post through the services, and you grant us a worldwide, transferable and sublicensable right to use, copy, modify, distribute, publish and process the information and content you provide through our services, without further consent, notice or compensation to you or others.

If the content you provide through our services includes personal information, it is subject to our Privacy Policy.

You agree to provide only content or information that does not violate the law or anyone’s rights (including intellectual property rights).

Authorized use

You may not modify or alter the content, combine it with other information or publish it in any form, in whole or in part. Prohibited uses include “screen scraping”, “database scraping” and any other activity, automated or not, intended to collect, store, reorganize or manipulate the content. Any exemption from the foregoing is subject to Sourcinc’s prior written consent.

Copyright

The services are works protected by the copyright of Sourcinc or its partners. Subject to the Licence paragraph above, the components of the services are also protected by this copyright and are the property of Sourcinc or are reproduced on the services under licence (all components of the services are collectively referred to as the “content”).

Trademarks

The trademarks used on the services, including but not limited to SOURCINC and the SOURCINC logo, are the property of Sourcinc, its partners or third parties. No right or licence to these trademarks is granted to you without the owner’s written permission.

Hyperlinks

The services contain links to websites operated by third parties over which Sourcinc has no control. When these links are activated from the services, a new browser window may open and the URL of the referenced website may appear in the navigation bar of your browser. You understand and agree that Sourcinc is in no way responsible for the activities that take place on these websites or for any damage they may cause.

Limitation of liability and warranty

Sourcinc makes no representation as to the suitability of the content or the services. The content, including the information on the services and the information generated by them, is believed to be reliable, but we cannot guarantee its completeness, accuracy or timeliness. To the fullest extent permitted by applicable law, the content and the services are provided to you “as is”, without any warranty. Sourcinc or its affiliates cannot be held liable for any direct, incidental, consequential, indirect or punitive damages arising from your access to or use of the content or the services.

No waiver

No failure or delay by Sourcinc in enforcing the provisions of these terms shall be construed as a waiver of its right to enforce any right or privilege it may have hereunder.

Control measures

We reserve the right, at our sole discretion and at any time, to ask you to demonstrate your compliance with these terms. In this regard, we may ask you to communicate with us verbally and to provide any document or information justifying your use (or use by your employees or other persons working for you) of the content and the services. You must respond to such requests without delay. Sourcinc will then take any measures it deems appropriate at its discretion, in light of your response, and may in particular temporarily or permanently suspend your access (or that of your employees or other persons working for you) to all or part of the services.

Denial of access

Sourcinc reserves the right, at its sole discretion, to cancel, limit or suspend your access to some or all of the services without notice and without incurring any liability, for any reason whatsoever, including a breach of these terms.

Governing law

These terms are governed by the laws applicable in the Province of Quebec, Canada. To the extent permitted by applicable law, the courts of Montréal (Quebec) have exclusive jurisdiction to hear and resolve any dispute relating to these terms.
